These Terms and Conditions ("Terms") govern your access to and use of the Awalyt platform ("Platform"), operated by Melillo Srl (company name to be confirmed), based in Naples, Italy ("Awalyt", "we", "us", or "our").

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Purpose of the Beta Version

Awalyt is currently offered as a Beta version, intended to allow early users to test the Platform, experience its features, and provide feedback to help improve the product.

The Beta version is provided free of charge and may include experimental, incomplete, or evolving features. Performance, accuracy, and availability may change at any time without prior notice.

By using the Beta, you understand that it is not a final or commercial release and may contain bugs or errors.

Awalyt may, at its sole discretion, modify or discontinue Beta access, introduce new paid or free plans, and update features as part of its product validation process.

2. Eligibility and Accounts

To use Awalyt, you must:

• Be at least 18 years old;
• Have the legal capacity to enter into a binding agreement; and
• Provide accurate and complete information when registering an account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify Awalyt immediately of any unauthorized access or security breach. Awalyt shall not be liable for losses resulting from unauthorized account use.

We reserve the right to suspend or delete accounts that violate these Terms or disrupt Platform integrity.

3. Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms.

You may not:

• Access or attempt to access the Platform by any means other than the interface provided;
• Copy, reproduce, distribute, or reverse-engineer any part of the Platform;
• Attempt to gain unauthorized access to our servers, databases, or other systems;
• Use the Platform to develop or assist in competing products or services;
• Use the Platform for unlawful, misleading, or fraudulent purposes.

Awalyt reserves the right to suspend or terminate access to any user violating these provisions or otherwise abusing the service.

4. User Data and Ownership

Awalyt allows you to create and analyze simulated investment portfolios using the Platform's analytical tools. You retain ownership of all data you input, such as portfolio compositions or test parameters.

By using the Platform, you grant Awalyt a limited, non-exclusive, royalty-free license to process, store, and display such data for the purpose of operating and improving the service. This license includes anonymized use of data to analyze Platform performance, ensure service functionality, and enhance algorithms.

Report Exports

The Platform may allow users to generate and export analytical reports in formats such as PDF or Excel. All exported materials are generated based on user-selected data, parameters, and time periods.

Users are fully responsible for the content, accuracy, and use of exported reports, including any sharing or distribution to third parties (such as clients or collaborators). Exported reports remain subject to these Terms and may not be altered, resold, or presented as official financial advice or endorsement by Awalyt.

Awalyt does not claim ownership over your investment ideas, portfolio strategies, or analysis results. However, you are solely responsible for the accuracy, legality, and content of the data you provide, and for any conclusions or materials generated from it.

5. Feedback and Suggestions

By submitting feedback, ideas, or reports regarding the Platform, you agree that Awalyt may freely use, modify, and incorporate such input into its products or documentation without any obligation to compensate you.

This helps us continuously improve the Platform while protecting Awalyt from intellectual property claims related to user suggestions.

6. Third-Party Services

Awalyt may connect with or rely on third-party services such as:

• Supabase (for hosting)
• Stripe (for payments, in future releases)
• Alpha Vantage (for financial data)

While we carefully select partners, Awalyt is not responsible for the performance, accuracy, or availability of third-party systems or data sources.

Your use of such third-party services is subject to their respective terms and privacy policies. Awalyt does not share personal data with these services beyond what is strictly necessary to operate the Platform.

7. Modifications and Updates

Awalyt may update, modify, or remove features of the Beta at any time. We may also release new tools, pricing models, or plans as the product evolves.

Changes that materially affect these Terms will be communicated via email or an in-app notice before they take effect. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

8. No Financial Advice

Awalyt provides analytical tools designed to support investment research, learning, and education. The Platform and all its outputs are provided for informational and educational purposes only.

Awalyt does not provide financial, legal, or tax advice, nor does it act as a financial advisor, broker, or fiduciary. All results, simulations, and performance indicators generated by the Platform are illustrative and should not be relied upon to make investment, trading, or other financial decisions.

You understand and agree that:

• Market data and calculations are based on historical and simulated information that may not reflect real-world performance;
• Awalyt makes no warranties regarding the accuracy, completeness, or reliability of the results;
• You are solely responsible for verifying any outcome and for all investment or business decisions based on your use of the Platform.

Reports and Exports

Any reports, charts, or visual outputs generated through the Platform are provided for informational and illustrative purposes only.

Users may customize and brand these reports for their own professional or client-facing use, provided that they do not represent Awalyt's analytical results as personalized investment advice or official endorsements.

If Awalyt or its trademarks are referenced within a report, users must ensure that such reference is solely descriptive (for example, "generated with Awalyt") and clearly indicates that the results do not constitute financial advice or recommendations, but may be used by licensed professionals as part of their own independent advisory process.

Awalyt shall bear no responsibility for the content, accuracy, or interpretation of any reports or materials distributed to third parties.

9. Intellectual Property

All elements of the Awalyt Platform — including software, algorithms, design, graphics, trademarks, trade names, logos, interfaces, and documentation — are the exclusive property of Melillo Srl (company name to be confirmed) or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for lawful purposes under these Terms.

You may not:

• Copy, distribute, sell, modify, or create derivative works from the Platform;
• Reverse-engineer, decompile, or disassemble any part of the software;
• Use Awalyt's trademarks or branding without prior written permission.

Any unauthorized use of Awalyt's intellectual property constitutes a material breach of these Terms and may result in immediate termination of access and legal action.

10. Availability and Service Disclaimer

Awalyt strives to maintain continuous access to the Platform but does not guarantee uninterrupted availability. Temporary interruptions may occur due to maintenance, updates, or external factors beyond our control (such as internet outages or third-party service downtime).

The Beta version is provided "as is" and "as available", without warranties of any kind — either express or implied — including but not limited to warranties of performance, accuracy, or fitness for a particular purpose.

Awalyt does not guarantee that analytical results or data presented in the Platform are free from errors, and accepts no responsibility for decisions made based on them.

11. Limitation of Liability

To the fullest extent permitted by applicable law:

• Awalyt shall not be liable for any indirect, incidental, consequential, or special damages (including loss of profits, revenue, data, or goodwill) arising from your use of or inability to use the Platform.
• Awalyt's total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the total amount paid by you for use of the Platform in the twelve (12) months preceding the claim.
• During the Beta phase, since the Platform is provided free of charge, Awalyt shall have no financial liability to users.

Nothing in these Terms limits liability for death, personal injury, or damages resulting from willful misconduct or gross negligence where such limitation is prohibited by law.

12. Termination

Awalyt reserves the right to suspend or terminate access to the Platform, with or without notice, if a user:

• Violates these Terms or applicable laws;
• Attempts to damage, hack, or disrupt the Platform;
• Engages in behavior that may harm other users or Awalyt's reputation;
• Uses the Platform for unlawful or unethical purposes.

Upon termination:

• The user's license to use the Platform ceases immediately;
• Awalyt may delete the user's account and associated data in accordance with its Privacy Policy.

Users may also terminate their own account at any time by using the account deletion function or contacting support.

13. Future Plans and Paid Services

The current Beta version of Awalyt is offered free of charge to allow users to explore the Platform and provide feedback during the validation phase.

Awalyt plans to introduce free and paid subscription plans in future releases, which will include additional functionality, advanced data integrations, and professional features.

You acknowledge and agree that:

• Access, pricing, and available features may change over time;
• Paid plans will be subject to separate pricing terms and renewal conditions;
• Continued use of the Platform after such updates constitutes acceptance of the new terms.

Awalyt may modify or discontinue the Beta version at any time without liability to users.

14. Indemnification

You agree to indemnify and hold harmless Awalyt, its affiliates, officers, directors, employees, and partners from any claim, liability, damages, or expenses (including legal fees) arising from:

• Your misuse of the Platform;
• Violation of these Terms; or
• Infringement of any third-party rights through use of the Platform.

This clause protects Awalyt from legal claims caused by user conduct or misuse.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Italy.

Any dispute, controversy, or claim arising out of or related to these Terms shall be submitted exclusively to the competent courts of Naples, Italy.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Awalyt may revise these Terms from time to time. When changes are made, the "Last updated" date will be modified accordingly.

If the changes are material, users will be notified by email or an in-app notice before they take effect. By continuing to use the Platform after revisions, you agree to be bound by the updated Terms.

17. Entire Agreement

These Terms constitute the entire agreement between you and Awalyt concerning your use of the Platform, superseding any prior agreements or communications.

Failure by Awalyt to enforce any provision of these Terms shall not constitute a waiver of such rights.
